Introduction

Hello Friend!

Welcome to Nostromo, a product of Digital Natives. We are providing you, your team and your clients an all in one project management tool that helps building your digital products. You’ve decided to work with us and so we created this sweet Terms of Service that will explain what we’re doing so we can serve you to the best of our abilities. We want to be as chilled as possible about this and not impose anything crazy on you. So this is what we basically suggest: have a read and if you want to give it a go just sign up. If you have any question or suggestions for improvements on what to do differently, just ping us an email and let’s work together on it.

If you sign up, you’re accepting our Terms of Service, Privacy and Cookie Policy (together we call them the Contracts) and you are entering into a binding agreement with Digital Natives [Name: Digital Natives Ltd. Address: 1062 Budapest, Andrássy út 66. Registration Number: 01-09-708329] for the time that you spend with us throughout your subscription.

Changes to the Terms of Service

Here at Nostromo we are dedicated to serve your and the community’s need which might be changing from time to time. We are evolving both as human beings and as a team hence our product evolves too. With that, every once in awhile we need to change the legal things as well.

We reserve the right to make changes to the Contracts. Please revisit this page from time to time to check out any updates. When we make any material changes to the Contracts, we will make sure to notify you via email. By continuing to use Nostromo’s Service after notifying you about the changes, you are expressing and acknowledging your acceptance of the changes. In case you don’t agree with the changes, please kindly unsubscribe from our services.

Definitions

Nostromo is an all in one project management tool for teams working on digital products. Here are some of the definitions we collected for you to understand this document better.

Content. While you’re using Nostromo you are creating or uploading content to Nostromo. Contents are any materials that are part of your projects including but not limited to task descriptions, pictures, photos, uploaded files, comments, links and timesheet related information.

User roles. In order to use Nostromo you need to become a user by subscribing to Nostromo. User means anyone who subscribed to Nostromo and has unique user identification for the service. User roles are:

Service is the functionality of Nostromo that you can use when you sign in to our application. It allows you to create teams, projects and tasks and manage these items by uploading Content and using the various built-in functionalities.

Team. Users, clients and admins form a team which is managed by the Admin user(s).

Sign up and Login

If you want to use the Service of Nostromo you need to sign up to create an account and then login each time you want to connect. Just like with any other services.

We made it fairly simple to you to signup and login. You can create an account and login with your email address or you can join via your Google Login details. We collect the minimal amount of your personal data and we only use them to authenticate you. Check out our Privacy Policy to understand what personal data we store. Oh yeah, and don’t worry too much which option you choose (email or Google Login) - you can change it at anytime.

Your login details may only be used by one person – a single login shared by multiple people is not permitted. You may create separate accounts for as many people as you would like.

Look, we know it’s highly unlikely, but yesterday we just read on the news that a robot attacked a human. Therefore, you must be a human. Accounts registered by “bots” or other automated methods are not permitted and will be removed manually.

License for use

When you sign up to use Nostromo we create a private account for you which means anything you work on will not be available publicly. The members of your team will see information that you share within the projects you’re working on. We need to give each other couple of licenses so everyone can use the product the way it works. We would like to be 100% upfront about these licenses. The sole purpose of them is to provide you and other Nostromo users our Service. We are not using your Content for anything else.

License provided by You to Nostromo. We need the right to use, host and store your Content in order to be able to store your projects on our servers and make it available to you when you would like to work on them. You will provide us the right to reproduce, modify or create derivative works from your Content. Obviously we won’t be modifying your Content, we need these rights for example to be able to share your tasks with other users on your team. You will also provide us a right to publicly perform or display your Content to allow us to display the material on other team members’ monitors.

Nostromo does not claim any ownership on your Content. You hereby grant Nostromo a worldwide, non-exclusive, revocable, royalty-free, fully paid, sublicensable and transferable license to use, host, store, reproduce, modify, create derivative works, publicly perform, display, distribute and transmit your Content.

License provided by You to other Users. When you use Nostromo to work with your team, you are sharing projects and tasks with other Nostromo users in your team.

You hereby grant other Nostromo users, whom you are in the same Team with, a worldwide, non-exclusive, revocable, royalty-free and fully paid license to use, store, reproduce, modify, create derivative works, publicly perform, display, distribute and transmit your Content.

Content from third party. When you work on projects and tasks you may upload certain content to our application. Nostromo allows you to upload third-party content, such as images, documents, or any file format into your project.

When you upload Content from any sources you will not post Content that violates, misappropriates or infringes someone else's rights, including but not limited to privacy rights, copyrights, trademark and/or any other intellectual property related rights or otherwise violates the law.

We reserve the right to disable your account if you repeatedly infringe someone else’s intellectual property rights.

If you believe that your intellectual property right has been infringed please do not hesitate to contact us under support@nostromo.io. We will then provide you with further assistance on what information do we need from you that might be required by law in order to remove infringing content from our Service.

End of license. This license ends when your account is deleted by you or by us. For further information, please read the ‘Termination your Account’ section.

Nostromo’s intellectual property

The Service provided by Nostromo contains elements owned by Digital Natives. The Service and its elements are copyright protected therefore you will not remove, alter, conceal, reproduce, modify, adapt, publish, transmit, distribute, sell, license, duplicate or in any other ways exploit the Service and its elements. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from Nostromo.

Limitation of Liability

We are doing our best to keep our Service properly running 24/7 however Nostromo does not warrant that the Service will be continuously and unrestrictedly available or that this Website is free of software viruses or bugs. Furthermore we are using third party services to provide the necessary hardware, software, networking and storage functionality in order to keep our Service up and running. Some technical breakdown might occur in our third party services which is out of our control. To the fullest extent permitted by law, in no event will Nostromo, its shareholders, employees be liable for any indirect, special, incidental, punitive, exemplary or consequential damages arising out of the use or inability to use Nostromo’s Service. Furthermore you agree that Nostromo has no responsibility or liability for the deletion of, or the failure to store or to transmit any Content and other communications maintained by the Service.

There are certain norms we’d like you to keep. We do the same every day.

You agree not to do any of the followings while using our Service

Terminating your account

If you decide to leave us we are definitely going to be sad. But we accept it and let you go as easy as possible.

You may terminate your account and the Contracts between you and Nostromo by emailing us at support@nostromo.io. There are couple of things you need to be aware of if you’re deleting your account.

First things first, by deleting your account all your personal data will be deleted. Your team however might need some of your earlier projects, comments and timesheet information. That content will not be deleted, but you’re name will be renamed to ‘Anonymous’ so it can not be traced back to you. If you don’t want to leave comments in the system, please do make sure you delete them prior to emailing us with your termination request.

If you are an admin of a team and you’d like to terminate your account, please assign your admin role to someone else in your team if you wish to keep the team on Nostromo. In case you would like to delete the entire team, please do tell that to us when you’re emailing us with your termination request. Bear in mind that if when a team gets deleted, all other team members’ accounts will be terminated as well.

Please bear in mind that your Content might not be removed from our servers at the time of termination. Residual copies of your deleted Content might be kept for backup purposes however we do make sure not to keep them for longer than 14 days after terminating your account.

Here at Nostromo we know our limitations hence we’re using couple of third-party services to provide you the most outstanding Service we can. Below you can find list of these partners and a link to their relevant Terms of Services.

By accepting Nostromo’s Terms of Service, you agree that you have reviewed our third-party’s Terms of Services. Please see ‘Limitation on Liability’ section to learn about Nostromo’s liability for third-party services. If you have any questions regarding the third-party services, please contact them directly.

Severability

If any provision of the Contracts becomes partly illegal or unenforceable, the other provisions will remain in force. We are going to make sure that any void provisions will be replaced by valid provisions that correspond with the remaining part of the Terms of Service.

Contracts

These Terms of Service together with the Privacy and Cookie Policy constitute the entire agreement between you and Digital Natives with regards to the rules of using Nostromo’s Service.

Jurisdiction and Applicable Law

The Contracts are subject to the laws of Hungary.

In case any dispute arises between You and Nostromo, we are keen to solve it in the most peaceful manner by sitting down and talking to each other as Partners. Hence you agree that any claim or dispute relating to the Contracts, or any other matters, disputes, or claims between them, shall be subject to non­binding mediation within 30 days of any party making a request to the other by letter. Any such mediation will be held in Hungary by a mutually agreed mediator.

If we can’t find a solution through mediation, you hereby agree that Hungarian court will have exclusive jurisdiction to proceed over any disputes or claims related to the use of our Service or breaching any of the Contracts.
